Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you and Miller Tech Solutions LLC, which operates postUGC as a brand ("postUGC," "we," "us," or "our"), governing your access to and use of postugc.com, the postUGC dashboard, and all related tools (the "Service"). By creating an account or otherwise using the Service, you agree to these Terms and to our Privacy Policy and Refund & Cancellation Policy, which are incorporated by reference.

If you do not agree to these Terms, do not use the Service.

2. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of a company, you represent that you have authority to bind that company to these Terms.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly at support@postugc.com if you suspect unauthorized use of your account.

3. Plans, Credits, and Billing

postUGC offers a one-time paid Trial and recurring monthly subscription plans (Starter, Pro, and Growth, with plan names and features as displayed on the pricing page at the time of purchase). Each plan includes a monthly allotment of video generation credits that are consumed based on the model, resolution, duration, and optional add-ons (such as external voice generation) used for each generation.

• Subscriptions renew automatically each billing period until canceled, and are billed in advance to the payment method on file through our payment processor.
• Unused credits do not roll over and expire at the end of each billing period when a new allotment is issued.
• If a video or avatar generation fails, the credits reserved for that generation are automatically returned to your account.
• You may purchase a limited number of additional credit top-ups per month, as described on the pricing and billing pages.
• We may change plan pricing, features, or credit costs prospectively; continued use of the Service after a price change takes effect constitutes acceptance of the new pricing for future billing periods.

Cancellations, refunds, membership pausing, and account deletion are governed by our Refund & Cancellation Policy.

4. Your Content and License to Us

"User Content" means the product URLs, text, images, screen recordings, brand assets, and other materials you submit to the Service, and the scripts, captions, videos, and avatars generated at your direction ("Generated Content").

You retain ownership of your User Content. You grant postUGC a worldwide, non-exclusive, royalty-free license to host, store, process, and use your User Content solely to provide, maintain, and improve the Service, including sending it to our AI and infrastructure providers listed in our Privacy Policy for the purpose of generating your requested output.

You represent that you own or have the necessary rights to any product information, images, screen recordings, brand assets, or likenesses you submit, and that your use of the Service will not infringe or violate any third party's intellectual property, privacy, or publicity rights.

Subject to your compliance with these Terms and payment of applicable fees, you may use Generated Content for your own commercial or marketing purposes. Because Generated Content is produced using third-party AI models, we cannot guarantee exclusivity, and similar outputs may be possible for other users of the same underlying models.

5. AI-Generated Content Disclaimers

The Service uses third-party artificial intelligence models to research products, write scripts and captions, and generate video, image, and voice content. AI-generated output can be inaccurate, unrealistic, or unexpected, and may occasionally resemble real individuals, brands, or existing content by coincidence.

• You are solely responsible for reviewing and approving all Generated Content before publishing or distributing it.
• You are responsible for complying with applicable advertising, endorsement, and disclosure laws (including FTC guidance in the United States) and the disclosure policies of any platform where you publish Generated Content, including clearly labeling AI-generated or synthetic media where required.
• postUGC does not warrant that Generated Content is accurate, non-infringing, or suitable for any particular purpose.

6. Prohibited Uses

When using the Service, you agree that you will not:

• Create content that impersonates a real person without authorization, including deepfakes, or that depicts a real, identifiable individual in a misleading or non-consensual way.
• Present AI-generated testimonials, reviews, or endorsements as though they are from real customers, or otherwise create deceptive endorsements.
• Make false or misleading health, medical, financial, legal, or earnings claims about any product or service.
• Generate content involving minors in a sexual or exploitative manner, hate speech, harassment, or content promoting violence or self-harm.
• Upload or generate content that infringes another party's copyright, trademark, publicity, or other intellectual property or privacy rights.
• Use the Service to generate content for illegal products, services, or activities in the jurisdictions where the content will be distributed.
• Scrape, extract data from, or submit URLs for websites you do not own or have permission to analyze in this way.
• Interfere with, disrupt, reverse-engineer, or attempt to gain unauthorized access to the Service or its underlying systems.
• Resell, sublicense, or provide access to the Service to third parties without our written consent, or attempt to circumvent credit limits, rate limits, or plan restrictions.
• Use automated means (bots, scripts) to access the Service outside of our provided interfaces and APIs.

We may investigate suspected violations and may suspend or terminate access, remove content, and/or refuse service to anyone who violates this section, in our reasonable discretion and without refund, in accordance with our Refund & Cancellation Policy.

7. Third-Party Platforms and Publishing

The Service can connect to and publish content to third-party social media platforms (such as TikTok, Instagram, Facebook, and YouTube) through our publishing partner. Your use of those platforms is subject to their own terms and policies, and postUGC is not responsible for actions taken by those platforms, including removal of content or suspension of your accounts.

8. Our Intellectual Property

The Service, including its software, design, branding, and underlying technology (excluding your User Content and Generated Content), is owned by postUGC and our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose, subject to these Terms.

9. Suspension and Termination

You may pause your membership or delete your account at any time from Account Settings, as described in our Refund & Cancellation Policy. We may suspend or terminate your access to the Service if you violate these Terms, fail to pay applicable fees, or if we reasonably believe your use of the Service poses a risk to postUGC, other users, or third parties.

Sections of these Terms that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and governing law) will survive.

10. Disclaimers

THE SERVICE AND ALL GENERATED CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT GENERATED CONTENT WILL MEET YOUR EXPECTATIONS, BE FACTUALLY ACCURATE, OR ACHIEVE ANY PARTICULAR MARKETING RESULT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POSTUGC AND ITS OFFICERS, EMPLOYEES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE TOTAL FEES YOU PAID TO POSTUGC IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

12. Indemnification

You agree to defend, indemnify, and hold harmless postUGC and its officers, employees, and service providers from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your User Content, your use of Generated Content, your violation of these Terms, or your violation of any applicable law or third-party right.

13. Governing Law and Dispute Resolution

These Terms governing your use of postUGC are governed by the laws of the State of New York, USA, without regard to its conflict-of-laws rules.

Any dispute arising out of or relating to these Terms or the postUGC Service will be resolved by binding individual arbitration administered under the rules of the American Arbitration Association, seated in New York County, New York, except that either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court for misuse of intellectual property or confidential information. YOU AND MILLER TECH SOLUTIONS LLC, WHICH OPERATES postUGC, EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You may opt out of this arbitration agreement by emailing support@postugc.com within 30 days of first accepting these Terms, stating your name and that you opt out of arbitration.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by email before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. General

These Terms, together with our Privacy Policy and Refund & Cancellation Policy, constitute the entire agreement between you and postUGC regarding the Service. If any provision is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Questions can be sent to support@postugc.com.
